Chapter 3 - The Midnight Board

The winter air bit at my cheeks as Leo guided the SUV into the private subterranean garage beneath the Vanguard Tower, five miles away from the estate and entirely removed from Roman’s sphere of influence. This building belonged to Sterling & Vance, the white-shoe legal firm that had represented my late father’s estate for thirty years.
It was 11:15 PM on Christmas Eve. The streets of the city were dusted with fresh snow, tranquil and serene, oblivious to the war that had just been declared.
Arthur Vance was waiting for me on the forty-second floor. At sixty-five, with silver hair and razor-sharp blue eyes, he was one of the few men in the state who didn't flinch when Roman Carter’s name was mentioned in a courtroom. He stood beside a glass conference table littered with legal dossiers, holding a steaming cup of herbal tea out toward me as the elevator doors parted.
""You look remarkably calm for a woman who just uncovered a plot to steal her child,"" Arthur said, his voice deep and reassuring.
""I’m past panic, Arthur,"" I said, sinking into the leather armchair and resting my hands over my stomach. The baby kicked, a firm, fluttering movement that grounded me instantly. ""Did you verify the patent transfer clauses?""
Arthur pulled a heavy red-ribboned file forward, tapping it with a fountain pen. ""It’s ironclad, Savannah. When your father financed Roman’s initial rollout for Carter Green Tech four years ago, he included an executive safeguard. Clause 14-B of the Master Intellectual Property Agreement. If Roman Carter engages in moral turpitude resulting in domestic abandonment, or attempts to circumvent the direct fiduciary inheritance of your lineal heirs, the master licensing rights revert immediately to the Helen Vance Trust—which is controlled exclusively by you.""
""And the board?""
""They’ve been notified of an emergency proxy meeting scheduled for 8:00 AM tomorrow morning,"" Arthur smiled, a predator showing his teeth. ""Roman thinks the market is closed for the holiday. He forgot that the European exchanges open at midnight Eastern time, and the debt covenants on his overseas ventures are held by banks in Frankfurt and London. Once we notify them of the breach of patent custody, Carter Holdings will face an immediate margin call of four hundred million dollars.""
""What about Claire Bennett?"" I asked.
Arthur slipped an iPad across the table. On the screen was an open corporate registry from the Cayman Islands. ""Miss Bennett isn't just his mistress, Savannah. She’s his conduit. Roman has been siphoning offshore capital into a logistics firm registered in her name, trying to shield assets before filing for your conservatorship. It’s textbook securities fraud. We have the wire transfers, the routing slips, and thanks to the hard drive you pulled from his safe, the encrypted digital ledgers that tie his personal signature to every illegal transaction.""
I looked out the panoramic window at the skyline. Far across town, the golden spire of the Aster House shimmered through the snow flurries. Roman was probably sitting by a marble fireplace right now, clinking glasses with Claire, celebrating what he thought was the beginning of his absolute freedom.
""File the injunctions,"" I said quietly. ""File the emergency custody protections with the superior court judge on call tonight. And leak the forensic audit to the financial press at 6:00 AM sharp.""

""He will come after you with everything he has, Savannah,"" Arthur warned gently. ""When a man like Roman realizes he’s trapped, he becomes reckless.""
""Let him come,"" I whispered, feeling another strong kick beneath my ribs. ""He built his kingdom on my family’s foundation, and tonight, I’m pulling the cornerstone out.""
