Chapter 5 - The Clause He Never Read

Adrian laughed nervously, looking around the room at the silent, stone-faced board members. "Claire, darling, stop this ridiculous charade. You don't understand how corporate governance works. You can't just walk into a fiduciary session and play CEO. You signed over your proxy rights on our wedding day!"

"Did he, Jonathan?" I asked, looking up at my attorney without glancing back at Adrian.

Jonathan Vance opened a sleek black leather binder and pulled out a yellowed, original legal document stamped with the official seal of the Cook County Probate Court. He slid a certified copy across the polished table until it bumped against Adrian’s manicured fingers.

"Mr. Sterling," Jonathan Vance began, adjusting his gold spectacles with methodical calm. "I invite you to review Section 14, Subsection B of the 2019 Revocable Proxy and Voting Assignment Agreement between yourself and Claire Eleanor Whitmore."

Adrian’s hands trembled as he opened the folder, his eyes scanning down the densely typed paragraphs.

"Allow me to read it aloud for the convenience of the board," Jonathan continued, his rich baritone filling the silent room. "The temporary assignment of voting shares shall immediately terminate, without prior notice, arbitration, or judicial intervention, upon the occurrence of any Material Moral Breach by the Assignee. A Material Moral Breach is defined explicitly as: public humiliation of the Whitmore family name, misappropriation of corporate resources for illicit personal benefit, or the fathering of a child outside the legal union of marriage during the subsistence of this agreement."

Adrian stopped breathing. The color drained from his face until he looked as gray as the winter sky outside the panoramic windows.

"No... this was an executive proxy," Adrian choked out, looking up wildly. "This clause wasn't in the summary draft I signed!"

"It was in the original trust instrument established by Arthur Whitmore thirty years ago," Evelyn Shaw stated coldly. "Arthur knew men like you, Adrian. He knew ambitious young men who marry daughters of wealth and slowly convince themselves that they built the mountain they were merely invited to climb."

Evelyn raised her hand. "As Chairwoman of the Board, I officially enter into the record the revocation of Adrian Sterling’s voting proxy. His fifty-four percent voting bloc has reverted entirely and exclusively to Claire Whitmore."

A soft, collective exhale moved through the room as six directors immediately marked their digital voting pads.

"Claire, wait! Please!" Adrian pleaded, lunging forward until Jonathan Vance stepped firmly between them. "We built this company together! I increased our market cap by forty percent! You can't erase five years of my sweat and vision over a private marital matter!"

May you like

"Your vision?" I asked, looking him dead in the eye. "Let us talk about your vision, Adrian. Let us discuss how you spent the company's money to build that vision."

I nodded to the senior forensic auditor seated beside Evelyn. The large projection screen on the wall flickered to life, displaying a cascade of bank transactions, wire transfers, and internal accounting approvals.
