Chapter 4 - The Misconduct Clause

Evelyn didn't even flinch. She slid a single blue-trimmed document across the glossy table, stopping it directly in front of Martin Wallace.

"Turn to page forty-seven, Section Twelve," Evelyn instructed smoothly. "The Key Personnel and Executive Integrity Clause. Northstar Meridian's acquisition terms are strictly contingent upon the immediate restructuring of Halcyon’s senior operational team."

Martin’s trembling hands turned the pages. "What does it specify, Mrs. Mercer?"

"It requires the immediate, unconditional termination of Grant Mercer for cause," Evelyn said clearly.

The words landed like a bomb in the room.

"For cause?!" Grant leaped to his feet, knocking his heavy leather chair backward into the credenza. "You can’t fire me for cause! On what grounds? Spousal spite? Personal drama? I'll sue you for tortious interference! I'll take half of everything you own in family court!"

Evelyn signaled to Marcus, who slipped a secondary manila dossier in front of each board member.

"It isn't spousal spite, Grant," Evelyn remarked, her voice chillingly professional. "Over the past nine months, you expensed over one hundred and forty thousand dollars on Halcyon’s corporate accounts under the guise of 'client development.' Except those dinners at luxury resorts in Aspen and Scottsdale weren't with institutional investors. They were with Miss Chloe Bennett, a junior marketing associate."

Grant stopped breathing. The color completely drained from his face, leaving behind a sick, gray pallor.

"Furthermore," Evelyn continued, flipping a page, "you promised Miss Bennett a director-level position within the post-merger structure in exchange for her silence regarding your unauthorized insider leaks. You discussed our proprietary acquisition pricing over non-secure channels. That is not just a breach of corporate fiduciary duty, Grant. That is wire fraud and securities violation."

"Martin..." Grant stammered, turning wildly toward his boss. "Martin, listen to me, she fabricated that! She's bitter because of our divorce! You know me!"

Martin Wallace looked at the photographic evidence, the credit card slips, and the stamped hotel registries inside the binder. Disgust hardened on the older man's face.

"You fool," Martin hissed, shaking his head. "You reckless, arrogant fool. You risked an eight-hundred-million-dollar buyout for a cheap hotel fling and lied to the board?"

Martin looked up at Evelyn, his expression desperate. "If we terminate him immediately without severance, will Northstar proceed with the acquisition?"

"Upon execution of his firing and the surrender of his company equity," Evelyn answered.

"No! Martin, don't do this!" Grant pleaded, slamming his palms onto the table. "I have options! I have vested shares!"

"Not anymore, you don't," Martin snapped, pulling a pen from his breast pocket. "You violated the core ethics pledge of Halcyon Vertex. As Chief Executive Officer, I hereby terminate Grant Mercer's employment effective immediately. Security, escort this man out of the building!"

Two towering building security guards entered the room. One placed a firm hand on Grant's shoulder, wrenching him backward away from the table.

"Evelyn! You can't do this to me!" Grant screamed as he was dragged toward the exit, his polished shoes scuffing the floor. "I gave you seven years of my life! You made me look like an idiot!"

Evelyn signed her name on the final signature line of the master contract without looking up.

"You did that all by yourself, Grant."
