Chapter 7 - The Master Stroke

By four o’clock that afternoon, Danielle and I were seated in the executive boardroom of Callaway Tower.

The building was practically deserted. The reception desks were unstaffed. The bank of flat-screen televisions in the elevator lobby was looping news coverage of the impending corporate insolvency. Federal marshals had already placed yellow evidence seals across the door of Preston’s corner office on the forty-second floor.

Edmund Callaway was seated at the far end of the sixty-foot mahogany conference table. Next to him were four senior restructuring attorneys from the city's most ruthless bankruptcy firm.

Edmund looked ten years older than he had twenty-four hours ago. His crisp Italian suit seemed loose on his shoulders, his tie slightly askew. In front of him lay a stack of court notices, liquidation filings, and debt-restructuring proposals.

""You have no business here, Nora,"" Edmund said, his voice flat and exhausted. ""Your divorce settlement is finalized. You have your custody. Take your daughter and leave before the bankruptcy court freezes every transaction associated with our name.""

""My client isn't here as Preston’s ex-wife, Edmund,"" Danielle said, stepping forward and dropping a heavy leather binder onto the mahogany table. The thud echoed through the silent room. ""She is here as the primary secured creditor of Callaway Holdings.""

The four restructuring attorneys looked up simultaneously, their legal instincts instantly alerted.

""What nonsense is this?"" Edmund scoffed. ""Callaway Holdings has no debt instruments held by Nora Mercer.""

""Not under her name, no,"" Danielle replied calmly, sliding the original patent assignment files and the municipal licensing audit across the table to Edmund’s lead counsel. ""Under the shell entity 'Apex Dynamic Infrastructure Ltd.'—registered in Delaware, wholly capitalized by the intellectual property stolen from Nora’s late father, Arthur Mercer.""

Edmund’s lead attorney, a seasoned veteran named Marcus Vance (no relation to the con artist, though the irony was not lost on anyone), put on his reading glasses and began flipping through the documents.

As Marcus read, his eyebrows climbed higher and higher toward his receding hairline. He leaned over, whispering frantically into Edmund’s ear while pointing at the transfer dates, the forged probate signatures, and the municipal royalty disbursements.

Edmund’s face slowly shifted from weary dismissal to pure, unadulterated horror.

""This... this was Preston’s personal project,"" Edmund stammered, his aristocratic voice wavering. ""The company was merely the administrative pass-through.""

""The company used that patent to secure forty-two million dollars in municipal construction bonds over the last eight years,"" Danielle stated sharply. ""That means Callaway Holdings committed commercial fraud against the City of Chicago and the municipal bond pool. If we file this fraud claim in federal district court tomorrow morning, the Department of Justice will initiate a criminal asset forfeiture proceeding. Every single property in the Callaway real estate portfolio—including your personal penthouse, Julian’s estate, and the corporate headquarters—will be seized as the fruit of a criminal enterprise.""

Edmund slumped back into his high-backed leather chair. He looked as if he had been struck by a locomotive.

""What do you want, Nora?"" Edmund asked, his voice barely audible. ""You want money? We have no money. Vanessa Vance took everything that wasn't nailed down.""

""I don't want your money, Edmund,"" I said, leaning forward, resting both hands flat against the polished table. ""I want your assets.""

The four attorneys exchanged panicked glances.

""Explain,"" Edmund whispered.

""I will not file the criminal probate fraud claim against Callaway Holdings,"" I said clearly. ""I will agree to convert the twenty-seven million dollars in stolen royalties—plus twenty million in accumulated statutory interest and damages—into an immediate equity swap. I take full, unencumbered ownership of the family residential real estate trust, including the house Preston tried to mortgage. Danielle has already tracked the fraudulent hard-money lien; with our priority fraud filing, that lien will be stripped and dissolved in chancery court within a week.""

Edmund swallowed hard. ""And the company?""

""You step down as CEO,"" I said without hesitation. ""Julian remains in London on a fixed corporate salary with zero voting stock. Preston will be formally expelled from the board, stripped of every share of equity, and left to face his individual criminal liability with a public defender. I take controlling voting preference on the restructured board of directors. My father's name will replace Callaway on the municipal licensing agreements. And you, Edmund, will retire to your country cabin in Vermont with your pension capped at six thousand dollars a month.""

May you like

""You're stripping us bare,"" Edmund rasped, his hands trembling against the table. ""You're taking the family name off the building.""

""Your son dragged that name through the mud of a maternity ward, Edmund,"" I replied coldly. ""I'm merely recycling the scrap metal.""
