Chapter 6 - The Trap Snaps Shut

The door to the country club’s private conference room slammed shut, cutting off the upbeat jazz quartet and laughter from the ballroom.
Cameron stood across from David Meyer, his face tight with defensive irritation. Judith and Madison had insisted on following them into the room, hovering near the leather chairs like an anxious entourage.
""David, what is the meaning of this?"" Cameron demanded, pulling his jacket straight. ""Making a scene in front of my guests is entirely unprofessional.""
""What’s unprofessional, Mr. Whitlock,"" David Meyer said, tossing a thick digital tablet onto the conference table, ""is attempting to sell an asset you don't actually own.""
Cameron froze. ""What are you talking about? I own one hundred percent of Whitlock Private Strategies. Lauren signed the separation waiver four days ago! She has zero claim to the firm!""
""Your ex-wife doesn't need to claim the firm, Cameron,"" David replied, leaning forward and resting both hands on the table. ""Because four hours ago, her legal counsel, Marcus Vance, served an emergency Notice of Senior Security Enforcement on our acquisitions committee, First Horizon Bank, and the North Carolina Secretary of State.""
Daniel Chase scrambled forward, grabbing the tablet. His hands shook so violently the screen rattled against his wedding ring. ""That... that’s impossible. Section 4 of our separation agreement explicitly waives marital claims!""
""Read Section 14, Daniel,"" David Meyer snapped. ""The rider your client signed on Monday morning.""
Daniel frantically scrolled through the PDF on the tablet until his eyes landed on Exhibit D. As he read the tiny, densely packed lines of legal text, the blood completely left his face. His knees buckled, and he was forced to drop into the nearest leather chair.
""Daniel?"" Cameron’s voice cracked, the first genuine note of terror bleeding through his bravado. ""Daniel, what does it say?""
Daniel looked up, his eyes wide and hollow. ""Cameron... what did you sign in 2022 when you got the First Horizon expansion credit line?""
""I... I told you! It was an operating facility! Lauren signed as a personal guarantor because my debt-to-income ratio was too high!""
""She didn't just sign as a guarantor, you idiot!"" Daniel whispered hoarsely, his professional composure crumbling into sheer panic. ""She pledged a three-hundred-thousand-dollar personal investment bond as primary liquid collateral! And under the commercial security agreement drafted by First Horizon’s underwriters, the primary guarantor was granted an irrevocable first-priority senior lien over all operational revenue, client retainer contracts, and intellectual property until the loan was discharged!""
Madison shook her head, looking between the men in total confusion. ""So what? Cam agreed to take over the loan! He indemnified her! That means she’s off the hook and Cam owns everything!""
""No, Madison!"" Daniel screamed, slamming his fist onto the table. ""You don't understand secured transactions! In Section 14, Cameron agreed that the company would assume the debt and discharge the senior lien within ten business days, OR—in the event of an ownership change, equity liquidation, or institutional buyout—the primary lienholder possesses an immediate, non-dilutable conversion right!""
Cameron’s heart felt like it had stopped beating. ""Conversion right? Conversion right into what?""
David Meyer crossed his arms, staring at Cameron with utter contempt. ""Into an eighty-five percent controlling equity stake in Whitlock Private Strategies, executed immediately upon any attempt to sell or transfer company assets without the lienholder’s prior written consent.""
The room spun violently around Cameron. The walls seemed to tilt.
""She... she can't do that,"" Cameron stammered, grabbing the back of a chair for balance. ""She signed away her spousal rights!""
""This isn't a spousal right, Cameron!"" Daniel cried, burying his face in his hands. ""This is a commercial contract right! Marcus Vance didn't touch the divorce terms because the divorce terms were irrelevant! You used her pre-marital money to secure your business four years ago, and when you asked her to release you in the divorce, you signed an indemnity rider that triggered the loan's default acceleration clause! You signed a document certifying that Lauren Whitlock is the primary senior creditor of your firm!""
David Meyer picked up his tablet and slid it back into his briefcase. ""As of two o'clock this afternoon, Apex Horizon Capital has formally suspended all acquisition discussions with Whitlock Private Strategies. Furthermore, our legal department has notified us that if you attempt to encumber or liquidate any firm accounts, we will seek immediate sanctions for fraudulent misrepresentation.""

David walked to the door, paused, and looked back at Cameron. ""Good luck, Whitlock. You didn't build a firm. You built a house of cards on your wife's money, and then you gave her the match.""
The door clicked shut behind him.
