Chapter 7 - The Corner Office Purge

By Thursday morning, Prescott Global headquarters was under total corporate siege.
The board of directors, terrified of personal liability and watching their personal stock options evaporate by the hour, convened an extraordinary emergency session on the fortieth floor. Aaron had arrived at seven in the morning, accompanied by Jasmine Cole, who was still desperately trying to play the role of the loyal partner standing by her beleaguered leader.
Witnesses later told Nathan that Jasmine had strutted into the executive lounge wearing a brand-new Cartier diamond bracelet, entirely unaware of the financial guillotine suspended over her head. She genuinely believed that Aaron would simply write a check, fire a few low-level managers to cut costs, and marry her once the divorce paperwork cleared.
At precisely ten o’clock, the heavy double doors of the boardroom swung open.
The board members—twelve senior men and women representing Boston’s old money and institutional funds—fell completely silent as Nathan Brooks walked in, followed by two senior partners from Vance Financial and myself.
Aaron jumped up from his leather chair at the head of the table. ""What is the meaning of this? This is a private executive session! Claire, you have no legal right to be in this room!""
Nathan didn't even look at Aaron. He turned directly to Marcus Vance—no relation to my family, but the long-serving lead independent director of the board.
""Mr. Director,"" Nathan said, opening a leather dossier and presenting it to the corporate secretary. ""As of eight-thirty this morning, Vanguard Horizon Holdings has executed its conversion rights under the secondary default provisions of the mezzanine debt agreement. Due to the non-payment of accelerated principal within the designated forty-eight-hour cure period, Vanguard Horizon has seized the pledged equity collateral formerly belonging to Aaron Prescott.""
A collective gasp echoed around the mahogany table.
Aaron’s face turned an ashen, sickly white. ""What? What equity? Davenport, what is he talking about?!""
Davenport, sitting in the corner with his head down, refused to meet Aaron's eyes. ""Aaron... when you signed the Rotterdam loan expansion, you pledged your thirty-two percent voting interest as primary collateral to secure the interest rate discount. You told me it was a formality. You told me the terminal would be cash-flow positive within sixty days.""
""It is cash-flow positive!"" Aaron screamed, slamming his palms onto the table. ""You can't steal my shares!""
""We didn't steal them, Mr. Prescott,"" Marcus Vance said sternly, his voice filled with cold disgust. ""You gambled them. And you lost. The board has already reviewed the conversion documentation with independent counsel this morning. The transaction is completely valid and legally binding.""
Marcus turned his chair toward me, nodding with profound respect. ""Mrs. Vance-Prescott... or rather, Ms. Vance... as the representative of the new largest voting shareholder holding forty-one percent of the aggregate equity of Prescott Global, the floor is yours.""
I stepped forward, looking down the long table at the man who had spent three years treating me like an inconvenient ghost in his life.
""Thank you, Marcus,"" I said clearly. ""My first motion as controlling shareholder is the immediate termination of Aaron Prescott as Chief Executive Officer and Chairman of the Board, effective immediately, for cause, without severance or golden parachute provisions, citing gross fiscal mismanagement and breach of fiduciary duty.""
""You can't do that!"" Aaron lunged forward, but security guards stationed at the door immediately stepped into the room, flanking him. ""This is my father's company! My grandfather founded Prescott Global! You are an outsider! You are nothing!""
May you like
""The second motion,"" I continued, ignoring his frantic ravings completely, ""is the immediate termination of Jasmine Cole, Junior Administrative Assistant, along with a formal referral to the Massachusetts Attorney General’s office for forensic investigation regarding the misappropriation of corporate funds for private travel and luxury goods.""
Outside in the executive hallway, Jasmine had been listening near the cracked door. When my words registered, she let out an audible, terrified sob, dropped her designer purse, and fled toward the elevators in a blind panic.
